PUBLIC OFFER AGREEMENT

• General provisions
  • This public offer for charitable donation (hereinafter - "Offer"), in accordance with Art. 641 of the Civil Code of Ukraine, is the proposal of the CHARITABLE ORGANIZATION “CHARITABLE FUND "SAVE BEAUTY", the identification code of the legal entity 44771445, located at the address: Ukraine, 03061, city of Kyiv, Shepeleva Mykoly St., building 6, office 105/1 (hereinafter - "Fund"), represented by the director of Ruban Liubov Oleksandrivna, acting on the basis of the statute, which is uncertain capable individuals and legal entities of private law, who voluntarily carry out charitable activities (hereinafter each of these persons - "Philanthropist"), to conclude an agreement on the provision of charitable donations (hereinafter - the "Agreement") on the terms described in this Offer, with each Benefactor applying.
  • This Offer comes into force from the moment it is posted on the Fund's website on the Internet at the link: https://savebeauty.com.ua/ next - "Site". This Offer is perpetual and can be changed or withdrawn by the Fund at any time (before its acceptance by the Benefactor) by posting relevant information on the Site.
  • The Fund may enter into contracts for the provision of charitable donations in a different manner and/or under other conditions than provided for in this Offer. The benefactor can separately apply to the Fund for the conclusion of such a contract.
• Grant of Licence
  • The subject of this Agreement is the free and voluntary transfer of funds to the Fund by the Benefactor through the implementation of charitable donations for the implementation of the statutory activities of the Fund. The benefactor independently determines the size of the charitable donation. The Fund independently determines the directions of using charitable donations within its own statutory activity, unless otherwise determined by the Benefactor in the manner determined by this Agreement.   • The Fund's activities do not aim to generate profit.
  • Information about the Fund's activities and reports on the results of such activities are published on the Site.
• Donation Contribution
  • The Philanthropist independently determines the amount of the charitable donation.
  • A charitable donation is voluntary and is not subject to return to the Philanthropist.
  • According to this Offer and Agreement, charitable donations are provided by Philanthropists and used by the Fund to conduct and ensure charitable activities (implementation of areas, purposes of charitable activities and charitable programs) of the Fund in accordance with the Statute and the laws of Ukraine. The Philanthropist agrees with such targeted use of their donation.
  • Methods of making a charitable donation:
    • one-time payment;

    • subscription, which provides for monthly/yearly payments in any amount.

    The indicated subscription can be canceled at any time through the user's bank services (e.g., Privat24, Apple Pay, Google Play, Ligpay, Fondy, etc.).
  • When making a charitable donation by the methods specified in clause 4.4 of this Agreement, the Philanthropist undertakes to indicate in the purpose of each corresponding payment: "charitable donation", "charitable aid", "philanthropist contribution", "voluntary donation".
  • If the Philanthropist does not indicate the payment purpose in accordance with clause 4.5 of this Agreement, the funds received without a payment purpose will be automatically recognized by the Parties as a "Charitable donation" made under this Agreement.
• Rights and Obligations of the Parties
  • The Fund undertakes to use the funds of the Philanthropist’s charitable donation in strict accordance with the laws of Ukraine, this Agreement, and only within its statutory activities.
  • The Fund undertakes to report annually, in electronic form, on the use of charitable donations by posting relevant information on the Fund's website;
  • The Fund undertakes, in the case of misuse of charitable donations or in violation of this Agreement, to return the amount misused to the Philanthropist upon their written request.
  • The Fund has the right to independently determine the directions of the charitable donation's use in accordance with its statutory activities and the laws of Ukraine, unless the Philanthropist has defined a specific purpose for their donation in a separate agreement with the Fund. Thus, if no specific purpose is defined, the donation is considered to be made for the Fund's statutory activities.
  • The Fund has the right to use part of the charitable donation for administrative expenses in the amount not exceeding that stipulated by the Law of Ukraine "On Charitable Activities and Charitable Organizations".
  • The Philanthropist has the right to obtain information about the use of their charitable donation. For this purpose, the Fund may publish monthly financial reports on the Site, which include (i) donation amounts received during the reporting period, and (ii) Fund expenses during the same period. Upon written request from the Philanthropist, the Fund may confirm the targeted use of the donation with additional documents. Access to these reports is provided in accordance with applicable laws of Ukraine and this Offer.
  • By making a charitable donation, the Philanthropist unconditionally affirms (i) their legal capacity, (ii) the voluntariness of the transaction, (iii) that the object of the charitable donation is not prohibited, under arrest, pledged, encumbered by third-party rights, or acquired in violation of the Law of Ukraine "On Prevention and Counteraction to Legalization (Laundering) of Proceeds of Crime, Terrorist Financing and Financing of Proliferation of Weapons of Mass Destruction". In case of reasonable doubts about these statements, the Fund may request, and the Philanthropist must provide, appropriate supporting evidence.
• Acceptance
  • Acceptance is the full and unconditional acceptance of the Public Offer by performing actions to make a money transfer using the payment forms and means placed on the Site, as well as by transferring funds to the Fund's bank account through banking institutions. The moment of Acceptance is the date of the money transfer and/or receipt of funds in the Fund's bank account.
  • Acceptance of the Offer means that the Philanthropist agrees with all its provisions and fully understands and agrees with the subject of the Agreement, the purpose of public fundraising, and the Fund's right to use part of the donation for administrative expenses, in an amount not exceeding that stipulated by Ukrainian legislation.
  • The Philanthropist and the Fund, guided by Art. 639, 641, 642 of the Civil Code of Ukraine, agree that from the moment of Acceptance the Agreement is considered concluded. At the same time, the Parties agree that non-compliance with the written form of the transaction does not mean its invalidity.
  • The Fund processes the Philanthropist's personal data provided when visiting the Site and/or making a donation (hereinafter – personal data) for proper implementation of this Agreement and its statutory activities. Detailed information on the processing of personal data is available in the section: (Privacy Policy).
• Final Provisions
  • The relationship between the Philanthropist and the Fund is governed by the applicable laws of Ukraine.
  • The place of public fundraising is the territory of any country in the world.
  • The direct activities of the Fund related to public fundraising are carried out at the Fund's location.
  • Public fundraising continues until the Fund terminates its activities (including through liquidation), unless a different term is determined by the Fund’s decision, which will be announced on the Site.
  • The Fund's liability for breach of this Agreement or misuse of charitable donations arises on the grounds, in the amount, and in the manner provided for by the laws of Ukraine.
  • In the event of disputes between the parties to this Agreement, they shall be resolved through negotiations. If resolution through negotiation is impossible, disputes shall be resolved by courts in accordance with the applicable laws of Ukraine.
